ICEA Ltd – Terms and Conditions
- Acceptance of Terms
By accessing or using the ICEA Ltd website located at https://icea.co/, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to all terms stated herein, you must immediately discontinue use of the website.
For the purposes of this agreement:
- “Client,” “You,” “Your” refers to the person accessing or using the website.
- “The Company,” “We,” “Us,” “Our” refers to ICEA Ltd.
- “Party” or “Parties” refers to both the Client and ICEA Ltd collectively.
- Orders and Pricing
All orders are subject to acceptance and availability. Due to the specialised nature of certain aviation products, some systems may only be installed by approved installation agencies or dealers. Where applicable, your order will not be processed until we have contacted you to confirm the approved installer.
Prices are subject to GST, applicable taxes, duties, insurance, freight, and handling charges unless expressly included. ICEA Ltd may revise prices at any time prior to accepting your order, provided we meet our obligations under the Fair Trading Act 1986.
All prices are stated in New Zealand Dollars (NZD) unless otherwise specified.
A quotation does not constitute a binding contract. You are obligated to pay the price once we accept your order.
- Payment Terms
If you hold a credit account, payment is due by the 20th of the month following the invoice date. Late or non-payment may incur debt collection costs and interest at 2.5% per month.
If you do not have a credit account, full payment is required before goods are dispatched.
ICEA Ltd may impose or alter your credit limit at any time. If you exceed your credit limit, we may refuse supply.
If your creditworthiness becomes unsatisfactory, we may require security for payment.
You may not withhold payment or make deductions without our prior written consent.
- Delivery
Unless otherwise specified, orders within New Zealand are shipped via NZ Couriers or NZ Post. International orders are shipped via NZ Post or DHL Express.
Shipping costs are added to your order. For international shipments, you are responsible for customs duties, import taxes, clearance fees, VAT/GST, and any other charges imposed by the destination country.
ICEA Ltd may deliver goods in instalments, each treated as a separate contract.
- Returns and Refunds
All returns must be approved prior to sending goods back. To request a return, email info@icea.co and provide your invoice number.
5.1 Exchanges – Change of Mind / Incorrect Purchase
ICEA Ltd offers a 14‑day exchange policy (excluding non-returnable and special-order items). If no suitable exchange item is available, you may receive a store credit or refund to your original payment method, excluding freight.
Returned goods must be sealed, unopened, and in original packaging.
5.2 Non‑Returnable Items
These items cannot be returned unless faulty:
- Opened oils, lubricants, fluids
- Hazardous chemicals
- Sealants or adhesives
- Aircraft wire
- Hose
- ELT batteries
- Special order items
- Products installed or used
5.3 Restocking Fees
At Our discretion, we may accept returns of special-order items that are not faulty. A minimum 20% handling fee applies. Delivery, service, and assembly fees are non-refundable.
5.4 Faulty Items
If goods are found faulty after inspection and deemed a warranty fault, ICEA Ltd will repair or replace them at no charge.
For online purchases, we will arrange collection of incorrectly supplied, damaged, or faulty goods where required under the Consumer Guarantees Act. Otherwise, you are responsible for delivery and insurance costs for returned goods.
- Product Use
It is the responsibility of the purchaser and installer to ensure any product used in an aircraft complies with the aircraft manufacturer’s specifications and all applicable aviation regulations.
- Risk and Ownership
Risk of loss or damage passes to you upon delivery, or when goods are left at a location you specify.
Ownership remains with ICEA Ltd until all amounts owed are paid in full.
While ownership remains with ICEA Ltd:
- Goods must be stored separately or clearly identified as ICEA Ltd property.
- You are authorised to use or resell goods in the ordinary course of business. This authority is revoked if:
- We deem Your credit unsatisfactory;
- An Event of Default occurs;
- We notify you in writing.
ICEA Ltd may enter premises to recover goods without liability for damage caused. We may resell recovered goods and apply proceeds toward your outstanding balance.
If you resell goods before ownership passes, you hold the proceeds in trust for both parties. ICEA Ltd’s beneficial interest equals the amount owed.
ICEA Ltd may take legal action for the price of goods even if ownership has not passed.
- Use of Information
You consent to ICEA Ltd obtaining information about you from any source, including credit or debt collection agencies.
You consent to ICEA Ltd providing information about your creditworthiness to third parties for credit assessment or debt collection.
You must notify ICEA Ltd of any changes affecting the accuracy of information provided.
If you are an individual, you have rights under the Privacy Act 1993 to access and request correction of personal information.
ICEA Ltd will collect, use, store, and disclose personal information in accordance with our privacy policy.
You consent to receiving marketing material from ICEA Ltd via electronic means. ICEA Ltd will comply with the Unsolicited Electronic Messages Act 2007.
